IMPORTANT — PLEASE READ CAREFULLY

This End User License Agreement (“EULA” or “Agreement”) is a legally binding contract between you (“User,” “you,” or “your”) and The Lucille Group, LLC (“Company,” “we,” “us,” or “our”), the owner and operator of ask.lucille. By accessing, uploading materials to, or receiving any report or output from ask.lucille, you acknowledge that you have read, understood, and agree to be bound by the terms of this EULA. If you do not agree, do not use the Service.

1. Description of the Service

ask.lucille is an AI-powered inventory and valuation service provided by The Lucille Group. The Service allows users to submit photographs and videos of personal property items via a designated Dropbox folder or other approved upload method. Our system uses artificial intelligence and machine learning to analyze the submitted photographs and videos and generate an Inventory and Valuation Report (“Report”) estimating the identity, description, and approximate market value of the depicted items. Reports are delivered electronically, either to the user’s designated Dropbox folder or via email.

2. License Grant

Subject to your compliance with this EULA, The Lucille Group grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Access and use the Service in accordance with the instructions provided on our website;

Submit photographs, videos, and other materials to our system for processing; and

Receive, download, store, and use the Report generated for you for your personal, non-commercial purposes.

This license does not include any right to resell, redistribute, sublicense, or create derivative works from the Service or any Report without the prior written consent of The Lucille Group.

3. User Obligations

By using the Service, you agree to:

Provide accurate information and submit photographs, videos, and other materials that you own or have lawful authority to submit;

Use the Service only for lawful purposes and in compliance with all applicable laws and regulations;

Follow all instructions provided on the ask.lucille website regarding photograph submission, file format, and folder organization;

Keep your Dropbox credentials and any access information confidential; and

Notify us promptly at [email protected] if you believe your account or materials have been accessed without authorization.

4. Prohibited Uses

You agree that you will NOT:

Use the Service for any commercial resale purpose, including offering valuation reports to third parties for a fee, without a separate written agreement with The Lucille Group;

Submit photographs, videos, or materials depicting illegal items, contraband, stolen property, or items you do not own or have no lawful right to submit;

Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or AI models underlying the Service;

Misrepresent the AI-generated Reports as certified professional appraisals, expert opinions, or legal valuations;

Use the Service in any manner that could damage, disable, overburden, or impair our systems; or

Violate any applicable local, state, national, or international law in connection with your use of the Service.

5. Ownership of Content and Intellectual Property

5.1 Your Content

You retain ownership of the photographs, videos, and other materials you submit to the Service (“User Content”). By submitting User Content (including photographs and videos), you grant The Lucille Group a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and analyze your User Content solely for the purpose of generating your Report and improving the Service. We will not sell your User Content to third parties or use it for any purpose unrelated to providing the Service to you.

5.2 Our Intellectual Property

The Service, including all software, algorithms, AI models, processes, website content, trademarks, logos, and the structure and format of the Reports, are the exclusive property of The Lucille Group and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, create derivative works from, publicly display, or distribute any portion of our intellectual property without our prior written consent.

5.3 Reports

The Report delivered to you is licensed, not sold. You may use your Report for personal reference purposes. You may share your Report with third parties (such as estate attorneys, family members, or charities) for purposes related to the underlying inventory. You may not resell, publish, or use the Report in any commercial context without prior written authorization from The Lucille Group.

6. AI-Generated Valuations — Important Disclaimer

The Reports generated by ask.lucille are produced by artificial intelligence and are provided for informational and reference purposes only. The valuations contained in any Report are estimates based on publicly available market data and AI analysis at the time of processing. They are NOT certified professional appraisals, expert valuations, or legal opinions of value.

ask.lucille Reports should not be used as the sole basis for insurance coverage decisions, tax filings, estate valuations, legal proceedings, charitable donation deductions, or any other purpose requiring a certified or licensed professional appraisal. For such purposes, please consult a qualified, licensed appraiser or other applicable professional.

Actual market values may differ materially from the estimates provided. The Lucille Group makes no warranty or guarantee regarding the accuracy, completeness, or fitness for any particular purpose of the valuations contained in any Report.

7. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into this EULA by reference. By using the Service, you consent to the collection, use, and processing of your data as described in our Privacy Policy. In summary:

Photographs and videos you submit are stored temporarily for processing and may be retained to improve our AI models, subject to our Privacy Policy.

We do not sell your personal information, photographs, or videos to third parties.

We implement reasonable technical and organizational measures to protect your data.

8. Disclaimer of Warranties

THE SERVICE AND ALL REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE LUCILLE GROUP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LUCILLE GROUP, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising from or related to your use of or inability to use the Service or any Report, even if we have been advised of the possibility of such damages. This includes, without limitation, damages for loss of profits, loss of data, loss of goodwill, business interruption, or any financial loss arising from reliance on a Report valuation.

Our total aggregate liability to you for any claims arising under this EULA shall not exceed the total fees paid by you to The Lucille Group in the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless The Lucille Group and its owners, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service in violation of this EULA; (b) your User Content; (c) your violation of any applicable law or the rights of a third party; or (d) your reliance on any Report for purposes beyond its intended informational use.

11. Term and Termination

This EULA is effective from the date you first use the Service and remains in effect until terminated. The Lucille Group may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated any term of this EULA or applicable law. You may terminate this Agreement at any time by ceasing all use of the Service and deleting any materials we have provided to you.

Upon termination, all license rights granted under this EULA immediately cease. Sections 5.2, 6, 8, 9, 10, 12, and 14 of this EULA shall survive termination.

12. Governing Law and Dispute Resolution

This EULA shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to its conflict of laws provisions. Any dispute arising out of or relating to this EULA or the Service that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Sedgwick County, Kansas, and you consent to personal jurisdiction in such courts.

13. Modifications to This Agreement

The Lucille Group reserves the right to modify this EULA at any time. When we make material changes, we will update the Effective Date at the top of this document and, where practicable, provide notice on our website or via email. Your continued use of the Service after such modifications constitutes your acceptance of the updated EULA. If you do not agree to the updated terms, you must discontinue use of the Service.

14. General Provisions

14.1 Severability

If any provision of this EULA is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.2 Entire Agreement

This EULA, together with our Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and The Lucille Group regarding your use of the Service and supersedes all prior or contemporaneous understandings and agreements.

14.3 No Waiver

Our failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under this EULA without our prior written consent. We may freely assign our rights and obligations under this EULA.
